

About Role
For an Indian Company based in New Delhi (including the NCR hubs of Gurugram and Noida), a Senior Manager – Compliance is a high-responsibility role. In the Indian corporate landscape, this role focuses heavily on navigating the evolving regulatory environment, including the Companies Act, SEBI norms, and the new Digital Personal Data Protection (DPDP) Act.
Job Description:
The Senior Manager – Compliance will act as the organisation’s regulatory watchdog. Reporting to the General Counsel or Company Secretary, you will ensure the company operates within the legal framework while maintaining the highest standards of corporate governance.
Support governance activities for multiple legal entities (AEIPL, AEBSIPL, AESIPL, etc.)
Ensure timely and accurate information flows to the Board and Committees
Assist in preparation of board materials and escalation of key compliance risks
Identify, assess, and monitor compliance risks across applicable laws and regulations
Perform compliance risk assessments and control testing
Develop and maintain compliance dashboards and reporting mechanisms
Escalate significant risk issues to senior leadership and Board
Ensure compliance with applicable laws including:
Labour Laws (Gratuity, Provident Fund, ESI, Shops & Establishment, Apprentices Act, Labour codes etc.)
Companies Act
Income Tax & FEMA regulations
Other applicable statutory and regulatory requirements
Maintain and update regulatory inventory and track regulatory changes
Drive implementation of new/updated regulatory requirements
Act as Data Privacy Officer and manage grievance handling processes
Ensure timely regulatory reporting and adherence to prescribed timelines
Exposure to transfer pricing, IRDA regulations, or financial services regulations is an added advantage
Collaborate with 1LOD (Business) and 2LOD (Risk/Compliance) teams.
Provide advisory support to business functions on compliance matters.
Liaise with regulators, auditors, and internal stakeholders.
Strengthening compliance frameworks, policies, and controls.
Support business restructuring and expansion initiatives from a compliance standpoint.
Drive continuous improvement in compliance processes and reporting.
Foster a high-risk and compliance culture across the organisation.
Core Responsibility:
Regulatory Framework Management: Design and maintain a comprehensive compliance universe covering Central, State, and Local laws.
Corporate Governance: Oversee secretarial compliance, board meeting protocols, and annual filings as per the Companies Act, 2013.
Internal Audit & Monitoring: Conduct regular compliance audits across departments (HR, Finance, Operations) to identify and mitigate "hidden" risks.
Policy Formulation: Draft and implement internal codes of conduct, including Anti-Bribery/Anti-Corruption (ABAC), Prevention of Insider Trading, and POSH policies.
Liaising with Authorities: Act as the primary point of contact for regulatory bodies like the ROC, SEBI, RBI, or Labour Departments.
Risk Mitigation: Provide real-time advisory to the Board on the impact of new legislative changes (e.g., ESG reporting or new Tax amendments).
Job Specification:
Location: New Delhi
Experience: 10–15 years of core experience in corporate compliance or legal secretarial roles.
Reporting To: Head of Legal / Company Secretary / CFO.
Salary Benchmarks Range: ₹25 Lakhs to ₹30 Lakhs (Fixed) + Performance Bonus.
Qualifications:
Mandatory: Qualified Company Secretary (CS) or CA and a member of the ICSI.
Preferred: A degree in Law (LLB/LLM) from a reputed university is highly advantageous for interpreting complex statutes.
Industry Knowledge: Familiarity with the specific regulations of the company's sector (e.g., NBFC regulations for Finance or RERA for Real Estate).
Essential Skills:
Interpretation Skills: Ability to decode complex legal circulars and translate them into actionable business processes.
Attention to Detail: Meticulous approach to documentation and filing deadlines to avoid heavy penalties or litigation.
Integrity & Ethics: Unwavering ethical standards, especially when dealing with government inspections or internal whistleblowers.
Stakeholder Management: Ability to firmly communicate compliance requirements to aggressive "Promoters" or business heads.
Tech-Savviness: Proficiency in Compliance Management Software (like Legatrix, RuleZero, or Complinity) and the MCA21 portal.
