For a large Indian Company based in Mumbai, the Head Legal role is a high-power position. In Mumbai, this role is heavily weighted towards Corporate Finance, M&A, and Regulatory Compliance with bodies like SEBI, RBI, and the Stock Exchanges (BSE/NSE). You aren't just a lawyer; you are a business enabler who protects the balance sheet.
Job Description:
The Head Legal will lead the legal function for the entire group/entity, acting as a strategic advisor to the Managing Director (MD) and the Board. You will be responsible for ensuring that the company’s expansion and operations are legally airtight and commercially viable.
Legal & Contract Management
Drafting, vetting, and negotiation of commercial contracts, dealer agreements, vendor contracts, lease deeds, logistics agreements, NDAs, and MOUs
Provide legal advisory to management on business risks, compliance, and mitigation
End-to-end handling of litigation, disputes, and legal notices, including coordination with external counsels
Compliance & Governance Support
Support management on legal compliance requirements applicable to business operations
Review and support implementation of policies, SOPs, and governance frameworks
Handle regulatory notices, inspections, and correspondence
Risk Management & Advisory
Identify legal risks across business operations, contracts, and expansion initiatives
Provide practical, business-aligned legal solutions while protecting company interests
Stakeholder Management
Act as the single point of contact for external lawyers, law firms, and consultants
Work closely with business, finance, HR, and operations teams
Core Responsibility:
Transactional Excellence: Lead legal due diligence for M&A, private equity investments, or joint ventures.
Corporate Governance: Oversee secretarial and legal compliance, ensuring adherence to the Companies Act, 2013, and SEBI (LODR) regulations for listed entities.
Litigation & Arbitration: Manage high-stakes commercial disputes in the Bombay High Court, NCLT, and through International/Domestic Arbitration.
Financing & Treasury Support: Draft and vet complex loan agreements, debenture trust deeds, and mortgage documents.
Contract Strategy: Develop "Master Service Agreements" and specialized commercial contracts to safeguard the company’s interests in various business dealings.
IPR Management: Protect the company’s trademarks and patents, handling any infringement issues or licensing deals.
Job Specification:
Location: Mumbai (Corporate HQ in Nariman Point).
Experience: 18–25 years of core legal experience, preferably with a mix of Tier -1 Law Firm and In-house experience in a large Indian corporate.
Reporting To: Managing Director (MD)
Salary Benchmarks (Mumbai) Range: ₹75 Lakhs to ₹80 Lakh+ (Fixed) + Performance Bonuses/ESOPs.
Qualifications:
Education: LLB / LLM from a premier Law School (NLUs, GLC Mumbai, or ILS Pune).
Professional Standing: Must be enrolled with the Bar Council of Maharashtra & Goa.
Added Value: A dual qualification as a Company Secretary (CS) is highly preferred for Mumbai-based promoters to handle Board-level complexities.
Essential Skills:
Commercial Astuteness: Ability to provide legal solutions that "close the deal" rather than just highlighting risks.
Regulatory Liaison: Proven ability to interface with the RBI, SEBI, and Stock Exchanges effectively.
Complex Drafting: Mastery of Shareholders' Agreements (SHA), Share Purchase Agreements (SPA), and complex structured finance documents.
Stakeholder Diplomacy: Skill in managing high-profile "Promoter" families and diverse Board Directors.
Crisis Management: Calmness and strategic thinking during dawn raids, regulatory probes, or hostile litigation.
